TERMS AND CONDITIONS OF SALE

This is a translation provided for information purposes. Only the French version is legally binding; the language of the contract is French (Article 16).

Preamble – Seller identification

The site www.sidearts.fr (the “Site”) is published by:

Article 1 – Purpose and scope

These Terms and Conditions of Sale (T&Cs) govern, without restriction or reservation, all sales concluded by Side Arts with consumers and non-professional buyers (“the Customer”) on the Site.

Any order placed on the Site implies full and complete acceptance of these T&Cs, in the version in force on the day of the order.

Article 2 – Products

The products offered are those shown on the Site, while stocks last. Side Arts reserves the right to withdraw or modify any product at any time. Photographs, texts and descriptions are for guidance only and do not engage the seller's liability in the event of minor differences.

Article 3 – Prices

Prices are stated in euros, all taxes included (French VAT applicable on the day of the order), excluding delivery costs, which are charged in addition and shown before the order is confirmed.

Side Arts reserves the right to change its prices at any time; products are invoiced at the price in force when the order is confirmed.

Orders outside mainland France: the Customer is the importer of the products. Customs duties, local taxes or import duties may be payable exclusively by the Customer, who is responsible for declaring and paying them to the competent authorities of their country.

Article 4 – Order

The Customer orders online on the Site as follows:

  1. Selecting products and adding them to the cart;
  2. Confirming the contents of the cart;
  3. Identification (account creation or guest checkout);
  4. Choosing the delivery method;
  5. Choosing the payment method and accepting the T&Cs;
  6. Checking and final confirmation of the order.

The order is firm and final once payment has been received. A confirmation email summarising the order and including these T&Cs is sent to the Customer.

Side Arts reserves the right to refuse or cancel any order in the event of a dispute with the Customer, a previous payment default, suspected fraud, or an abnormal order (in particular more than 4 identical items without professional justification).

Article 5 – Payment

Payment is made exclusively at the time of ordering, by bank card (Visa, Mastercard, CB, American Express), PayPal, Apple Pay, Google Pay or Shop Pay, via the secure Shopify Payments / Stripe platform.

The charge is made when the order is confirmed. Bank details do not pass through Side Arts' servers and are protected by SSL encryption.

Side Arts reserves the right to suspend or cancel any order if payment authorisation is refused by the banks.

Professional customers: any late payment automatically incurs, without prior formal notice, penalties at the ECB refinancing rate plus 10 points, as well as a fixed indemnity of €40 for recovery costs (Art. L.441-10 French Commercial Code).

Article 6 – Delivery

Areas served: mainland France, European Union, international.

Lead times: orders are shipped within 2 to 4 working days. The maximum delivery time is 30 days from confirmation of the order, unless otherwise stated at the time of ordering.

Delivery costs: shown before the order is confirmed, depending on weight, destination and chosen method.

Late delivery: in accordance with Article L.216-6 of the French Consumer Code, if the seller fails to deliver on the agreed date or, failing that, within 30 days, the Customer may, after asking the seller to deliver within a reasonable additional period, terminate the contract by registered letter or in writing on a durable medium. Amounts paid are refunded within 14 days (Art. L.216-7).

Transfer of risk: the risk of loss or damage passes to the Customer when they take physical possession of the products (Art. L.216-4 French Consumer Code).

Article 7 – Right of withdrawal

In accordance with Article L.221-18 of the French Consumer Code, the Customer has 14 days from receipt of the product to exercise their right of withdrawal, without having to justify their decision or pay any penalty.

How: the Customer notifies their decision to withdraw to shop@sidearts.fr before the period expires, either using the model withdrawal form (annex below) or by any other unambiguous statement.

Return: the product must be returned, in its original and complete condition (tags, packaging, accessories), to ALL OF WEAR, 81 rue d'Alsace Lorraine, 31000 Toulouse, France, no later than 14 days after notifying the decision to withdraw.

Return costs: paid by the Customer.

Refund: Side Arts refunds all sums paid (excluding return costs) no later than 14 days after receipt of the product or proof of its shipment, using the same payment method as the one used for the order.

Exclusions (Art. L.221-28 French Consumer Code): the right of withdrawal does not apply in particular to goods made to the Customer's specifications or clearly personalised, to sealed goods that have been unsealed and cannot be returned for hygiene reasons, or to digital content supplied without a physical medium after the Customer's express consent.

Article 8 – Legal guarantees

All products benefit from the following legal guarantees, independent of any commercial guarantee:

Legal guarantee of conformity (Art. L.217-3 to L.217-17 French Consumer Code): the Customer has 2 years from delivery of the goods to take action. They may choose between repair or replacement of the goods, subject to the cost conditions set out in Article L.217-12. They do not have to prove the lack of conformity during the 24 months following delivery.

Guarantee against hidden defects (Art. 1641 et seq. French Civil Code): the Customer may take action within 2 years of discovering the defect and obtain a refund of the price (rescission) or a price reduction.

Implementation: any claim must be sent to shop@sidearts.fr with photos and proof of purchase. Return costs are paid by Side Arts in the event of a proven defect.

Mandatory notice (Art. R.211-2 French Consumer Code): “The consumer has two years from delivery of the goods to obtain the implementation of the legal guarantee of conformity if a lack of conformity appears. During this period, the consumer only has to establish the existence of the lack of conformity, not the date on which it appeared. […]”

Article 9 – Retention of title

Products remain the property of Side Arts until the Customer has paid the price in full.

Article 10 – Liability

Products comply with French legislation in force. Side Arts cannot be held liable for non-compliance with the legislation of the country of delivery, which it is the Customer's responsibility to check.

Side Arts cannot be held liable for damage resulting from misuse of the product, nor for inconvenience related to use of the Internet (service interruption, intrusion, viruses).

Article 11 – Intellectual property

All elements of the Site (texts, visuals, logos, the “Side Arts” brand, photographs, videos) are the exclusive property of Side Arts and protected by copyright and trademark law. Any reproduction, representation, modification or use, in whole or in part, without prior written authorisation is prohibited and constitutes an infringement punishable under Articles L.335-2 et seq. of the French Intellectual Property Code.

Article 12 – Personal data

Side Arts collects and processes the Customer's personal data in accordance with Regulation (EU) 2016/679 (GDPR) and the amended French “Informatique et Libertés” law of 6 January 1978.

  • Controller: Side Arts
  • Purposes: order management, delivery, invoicing, customer service, marketing (subject to consent), compliance with legal obligations.
  • Legal bases: performance of the contract, legal obligation, legitimate interest, consent.
  • Recipients: Side Arts internal departments, service providers (Shopify, carriers, payment provider, accounting service).
  • Retention period: 3 years from last contact for prospects; 10 years for accounting documents; the time needed for processing for other data.
  • Customer rights: access, rectification, erasure, restriction, portability, objection, withdrawal of consent at any time. Exercised at shop@sidearts.fr.
  • Complaints: the Customer may lodge a complaint with the CNIL (www.cnil.fr).

Article 13 – Cookies

The Site uses cookies. The Customer can accept, refuse or configure them via the consent banner. See the Cookie Policy.

Article 14 – Archiving – Evidence

In accordance with Article 1366 of the French Civil Code, computerised records kept in Side Arts' systems will be considered proof of communications, orders and payments between the parties. Order forms and invoices are archived on a reliable and durable medium.

Article 15 – Consumer mediation

In accordance with Article L.612-1 of the French Consumer Code, in the event of an unresolved dispute with Side Arts, the Customer may use the following consumer mediator free of charge:

Article 16 – Applicable law – Disputes

These T&Cs are governed by French law. The language of the contract is French.

In the event of a dispute, the Customer is invited to contact Side Arts first at shop@sidearts.fr for an amicable resolution.

Consumer customers: in accordance with Articles R.631-3 and R.631-4 of the French Consumer Code, consumer customers may bring proceedings, at their choice, before one of the courts with territorial jurisdiction under the Code of Civil Procedure or before the court of the place where they lived at the time the contract was concluded or the harmful event occurred.

Professional customers: any dispute will be subject to the exclusive jurisdiction of the Toulouse Commercial Court.

Article 17 – Changes to the T&Cs

Side Arts reserves the right to modify these T&Cs at any time. The applicable T&Cs are those in force on the date the order is confirmed.
